These Terms of Service (“Terms”) govern your access to and use of the websites and services operated by Axondigi Ltd (“Axondigi,” “we,” “us,” or “our”), including axondigi.com, business.axondigi.com, and the ANAI AI assistant (collectively, the “Services”).

Please read these Terms carefully before using our Services. By accessing or using any part of the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years of age to use our Services. By using the Services, you represent that you meet this requirement and have the legal capacity to enter into a binding agreement. If you are using the Services on behalf of a business or organization, you further represent that you have the authority to bind that entity to these Terms.

2. Description of Services

Axondigi provides:

  • Business profile pages: Public-facing pages displaying information about Canadian businesses, sourced from government registries and content provided by business owners.
  • Business owner dashboard (business.axondigi.com): A portal for business owners to claim and manage their profile, configure ANAI, and view engagement data.
  • ANAI: An AI-powered assistant that answers questions about a business, available on that business’s profile page and optionally embedded on the business’s own website via a widget.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time. We will provide reasonable notice of material changes.

3. Account Registration

3.1 Creating an Account

To access owner dashboard features, you must register for an account. You agree to provide accurate, complete, and current information at registration and to keep your account information up to date.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect any unauthorized access to your account. We are not liable for any loss resulting from unauthorized use of your credentials.

4. Business Owner Terms

4.1 Claiming a Profile

By claiming a business profile, you represent that you are authorized to act on behalf of that business. We may request verification before approving a claim. Axondigi reserves the right to revoke a claim if we determine that it was made without proper authorization.

4.2 Your Content

You retain ownership of content you submit to the Services (“Owner Content”), including text, images, service descriptions, FAQs, and business information. By submitting Owner Content, you grant Axondigi a worldwide, royalty-free, non-exclusive license to use, store, display, and transmit that content solely to operate and improve the Services.

4.3 Accuracy of Information

You represent that all information you provide is accurate, complete, and not misleading. You are responsible for keeping your profile current. Axondigi may display publicly available registry information alongside or instead of owner-provided information.

4.4 ANAI Configuration

You may configure ANAI’s persona, knowledge base, and behavior through your dashboard. You are responsible for ensuring that your ANAI configuration is lawful and does not mislead, deceive, or harm customers.

4.5 Prohibited Content

You must not submit Owner Content that:

  • Is false, misleading, or fraudulent
  • Infringes any third party’s intellectual property or other rights
  • Is defamatory, harassing, obscene, or otherwise unlawful
  • Contains viruses, malware, or other code designed to harm the Services or users

We may remove any content that violates these Terms at our sole discretion.

5. End Consumer Terms

5.1 Using ANAI

ANAI is an AI assistant that provides information about a specific business. By using ANAI, you acknowledge and agree that:

  • Responses are AI-generated and may be inaccurate, incomplete, or out of date.
  • ANAI does not provide legal, medical, financial, or other professional advice. Do not rely on it as a substitute for qualified professional counsel.
  • Your conversations may be stored and reviewed by Axondigi and by the owner of the business profile you are interacting with.
  • You should not share sensitive personal information with ANAI (e.g., financial account numbers, government identification numbers, passwords, or medical details).

5.2 Acceptable Use

You agree not to use ANAI to:

  • Attempt to extract confidential business information beyond what the business has made available
  • Generate harmful, discriminatory, abusive, or unlawful content
  • Attempt to manipulate or circumvent ANAI’s intended behavior through prompt injection or similar techniques
  • Send automated, bulk, or scripted requests that place unreasonable load on our systems

6. Intellectual Property

6.1 Axondigi’s Rights

The Services, including all software, designs, trademarks, and content created by Axondigi, are owned by Axondigi Ltd and protected by applicable intellectual property laws. No license is granted to you except as expressly stated in these Terms.

6.2 Business Registry Data

Business profile data sourced from government registries is publicly available information. Axondigi does not claim ownership over the underlying government data, but does assert rights in its compilation, curation, presentation, and derived work.

6.3 Feedback

If you submit feedback, suggestions, or ideas about our Services, you grant Axondigi a perpetual, royalty-free, irrevocable license to use that feedback for any purpose without compensation or obligation to you.

7. ANAI Widget

If you embed the ANAI widget on your own website, Axondigi grants you a limited, non-exclusive, non-transferable, revocable license to display the widget solely to provide the ANAI service to your website visitors. You must not:

  • Modify, decompile, or reverse-engineer the widget code
  • Use the widget for any purpose other than providing ANAI to your site visitors
  • Embed the widget in any way that violates these Terms or applicable law

We may revoke your widget license at any time if you breach these Terms.

8. Payment and Subscriptions

Axondigi currently offers a free tier. When paid plans are introduced, the following terms will apply and will be communicated to you in advance:

  • Subscription fees will be billed in advance on a monthly or annual cycle.
  • All fees are stated in Canadian dollars (CAD) unless otherwise specified.
  • Fees paid are non-refundable except as required by applicable law or as stated in the specific plan terms.
  • You authorize us (or our payment processor) to charge your payment method on a recurring basis.
  • We will provide at least 30 days’ notice before changing subscription pricing.
  • You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

9. Third-Party Services

The Services integrate with third-party services, including AI model providers (described in our Privacy Policy). We are not responsible for the availability, accuracy, content, or privacy practices of third-party services. Your use of such services is governed by their own terms and privacy policies.

10. Privacy

Our collection and use of personal information is governed by our Privacy Policy, incorporated into these Terms by reference. By using the Services, you consent to our privacy practices as described therein.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, OR ERROR-FREE; (B) ANY DEFECTS WILL BE CORRECTED; (C) ANAI RESPONSES WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE; OR (D) BUSINESS PROFILE INFORMATION REFLECTS THE CURRENT LEGAL OR OPERATING STATUS OF ANY BUSINESS.

INFORMATION ABOUT BUSINESSES SOURCED FROM GOVERNMENT REGISTRIES OR AI-GENERATED SUMMARIES MAY BE OUTDATED OR INCORRECT. ALWAYS VERIFY CRITICAL INFORMATION DIRECTLY WITH THE BUSINESS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AXONDIGI LTD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES YOU PAID TO AXONDIGI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Some jurisdictions do not permit exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Axondigi Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your Owner Content; (c) your breach of these Terms; or (d) your violation of any third-party rights or applicable law.

14. Suspension and Termination

14.1 By You

You may deactivate your business owner account at any time by contacting [email protected]. Deactivation removes your access to the dashboard but does not automatically remove your business’s public profile page, which may continue to display publicly available registry information.

14.2 By Axondigi

We may suspend or terminate your access to the Services, with or without notice, if you: (a) violate these Terms; (b) engage in fraudulent, abusive, or illegal activity; or (c) otherwise act in a manner harmful to other users, third parties, or Axondigi. For non-urgent violations, we will attempt to provide notice and an opportunity to cure before termination.

14.3 Effect of Termination

Upon termination, your license to use the Services ends immediately. Sections that by their nature should survive termination — including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law — will survive.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute, claim, or controversy arising from or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts of competent jurisdiction in Nova Scotia, Canada. You irrevocably consent to the personal jurisdiction of those courts.

16. Changes to These Terms

We may update these Terms at any time. We will post the updated Terms on our website with a revised “Last Updated” date. For material changes, registered business owners will receive email notice at least 30 days before changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.

If you do not agree to updated Terms, you must stop using the Services and may deactivate your account.

17. General

  • Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and Axondigi regarding the Services and supersede all prior agreements.
  • Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in full force.
  • No Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. Axondigi may assign its rights freely, including in connection with a merger or acquisition.
  • Language: These Terms are written in English. If translated, the English version controls in the event of any conflict.
